The firm’s resourceful Corporate, Commercial and Compliance Group is experienced in structuring major and complex transactions, applying cutting edge legal techniques and dealing with the compliance requirements that emanate from these transactions in Nigeria. We also assist our clients with due diligence, evaluation of Bid Proposals, Technical and Financial Proposals, developing Evaluation Procedures, drafting of Corporate Governance, Pensions, Employment Principles and Procedural Guidelines.
In carrying out our responsibilities, we have had to examine and interprete sector- specific and general legislation such as the Companies and Allied Matters Act (CAMA), Nigerian Investment Promotion Commission Decree (NIPC), Investment and Securities Act (ISA), National Office for Technology Acquisition and Promotion Decree (NOTAP) and the Land Use Act. With offices in Lagos, Abuja and Port-Harcourt, our firm has direct and unlimited access to relevant regulatory bodies, such as the Corporate Affairs Commission (CAC), the Central Bank of Nigeria (CBN),
the Securities and Exchange Commission (SEC), the Department of Petroleum Resources (DPR), the Nigerian Communications Commission (NCC), the Nigerian Electricity Regulatory Commission (NERC), Federal Inland Revenue Service (FIRS), Standard Organization of Nigeria (SON), the Consumer Protection Council of Nigeria, the Nigerian Maritime Administration and Safety Agency (NIMASA), the Federal Airport Authority of Nigeria (FAAN), their agencies and various land registries.
We also render legal advisory services in relation to the various forms of Corporate reorganization such as mergers and acquisitions, receiverships, winding up, liquidation etc. We have been directly involved in the sale of state owned enterprises being conducted by the BPE. We have a team that comprises of Chartered Secretaries of the Institute of Chartered Secretaries and Administrators, UK, who have a deep appreciation of the legal issues surrounding business re-arrangements.
